GENERAL TERMS AND CONDITIONS OF SERVICE

Translation, copywriting, multilingual SEO and SMM, interpreting and hostessing services. 

These general terms and conditions of service state the rights and obligations of Verbavox, operating under EU VAT No. IT02454750445, AND every legal or natural person requiring its services (hereafter called the “Client”).

ACCEPTANCE OF SERVICES

This document, originally drafted in Italian, is a localized copy of Verbavox’s Conditions of Sale. In the event of any contradiction, the Italian version shall prevail.

These Terms of Sale apply to all assignments carried out by Verbavox for its clients. In order to purchase a Service on behalf of a company or other legal entity, the Client must prove that he/she is a legal representative of the company or that he/she has the necessary authorization to purchase the service requested. 

Verbavox reserves the right to update these Terms at any time and to post them online.

DESCRIPTION OF SERVICES

TRANSLATION SERVICE

A service that allows Verbavox’s clients to obtain content in a language other than the original language, taking into account the linguistic and cultural differences of the target language and preserving the tone, vocabulary and organization of information of the source content.

SEO COPYWRITING SERVICE

Service that allows Verbavox clients to obtain original content in language written by a Supplier on the basis of guidelines provided by the Client on a specific subject. The guidelines will contain: destination of the document to be written, target audience, number of words.

PROOFREADING SERVICE

Service that allows Verbavox’s clients to entrust content to a Provider so that the Provider can check for errors in punctuation, spelling, grammar and syntax. Contradictions, repetitions, and bad or missing cultural adaptations will only be checked at the specific request of the Client.  

INTERPRETING SERVICE

This service allows Verbavox clients to communicate with foreign clients or potential clients by translating orally from the language of the interlocutor to that of the client and the various exchanges between the parties. This translation will take place in the manner agreed upon with the client: negotiation, consecutive or simultaneous, and in the agreed upon location: over-the-phone or in person.

TRADE SHOW HOSTESSES AND STEWARDS SERVICE

A service that allows Verbavox’s clients to obtain multilingual assistance and reception on stands at national and international trade fairs.

MULTILINGUAL SEO SERVICE

Service that allows Verbavox’s clients to obtain an SEO strategy with actions defined and agreed upon together with the client to improve the international positioning of the client’s website on search engines.

MULTILINGUAL SOCIAL MEDIA MANAGEMENT SERVICE

Service that allows Verbavox’s clients to obtain multilingual management of social media according to the agreed mode and frequency. Verbavox will create an editorial calendar and publish posts as agreed.

Translations, copywriting, proofreading services

ORDER

After having made the initial request on our website or by e-mail, the Client can send, together with the content to be dealt with, a briefing with useful guidelines for carrying out the assignment.

TYPES OF CONTENT

The content transmitted must not violate the universal and individual rights of natural and legal persons, be offensive, defamatory or contrary to morality. No content must incite hatred, discrimination or violence or be illegal.

SERVICE EXECUTION

Verbavox will make every effort to ensure the utmost confidentiality of the Content and undertakes to entrust assignments to Suppliers who meet all the competence requirements. In the event of unavailability of Suppliers, Verbavox may cancel the Service requested and proceed to refund the amount paid to the Client. The Client also acknowledges that it may not claim any compensation in this regard.

CONTENT VALIDATION

Upon delivery, the Customer has seven days to verify that the content complies with the Initial Request and, if necessary, request modifications by providing clear and detailed information. Otherwise, the Content submitted by the Author shall be considered to have been accepted by the Client without reservations.

In the event of disputes, Verbavox will hire a third-party moderator for an inspection intended to assess the relevance of the Client’s rejection.

Interpreting & trade show hostesses and stewards

ORDER

The Client agrees to provide all information related to the assignment and its execution: duration of the assignment, location of the assignment, all the necessary documents for the proper training and conduct of the assignment, a briefing. 

ASSIGNMENT EXECUTION

Verbavox undertakes to inform the Supplier of the briefing and the support provided by the Client for the correct execution of the assignment, and to select only Suppliers specialized in the Client’s specific industry.

The Client undertakes not to contact the Supplier directly. Should the Client fail to abide by this requirement, the Client agrees to pay Verbavox compensation of five thousand euros (€5,000) per violation.

IMAGE RIGHTS

Should the Supplier be photographed or filmed during the event, the Client undertakes to have Verbavox and the Supplier sign a release of image rights and to send the material collected prior to distribution.

SERVICE CANCELLATION

Requests may be cancelled within 7 days of the event. In the event of non-compliance with the specified timeline, Verbavox will charge 100% of the agreed upon amount to the Client.

MULTILINGUAL SEO & SOCIAL MEDIA MANAGEMENT

ORDER

Verbavox and the Client agree together on a strategy aimed at obtaining organic traffic and engagement on social networks from an international perspective. The modalities of collaboration are defined during the initial request. 

Verbavox shall not be held responsible if the SEO results or the social media engagement statistics obtained do not meet the Client expectations.

ASSIGNMENT EXECUTION

Verbavox and its Suppliers shall implement all the actions defined with the Client in the manner agreed upon. 

SUBSCRIPTION TERMINATION

Termination of the monthly subscription is only valid if notified before the 15th day of the month prior to cancellation. In the event of interruption during the month in progress, the Customer may not claim any pro rata reimbursement: the full monthly amount must be paid to Verbavox.

IMAGES

The Client agrees to provide unique and original images. Verbavox shall not be held responsible for any copyright infringement in this regard.

PAYMENTS & BILLING

RATES AND CURRENCIES

The applicable rate is always specified whether the Client requests an instant quote on the website or sends us a request for a quote by e-mail. However, the specified rate can be modified only and exclusively by Verbavox in the event that the project undergoes changes during the year or that the documents initially provided are not sufficient to provide an accurate estimate of the work to be performed.

Any changes in rates will not be communicated to Clients but will come into effect upon publication on the website. 

Verbavox reference currency is Euros (€).

PAYMENT METHODS

Verbavox accepts payment by bank transfer, credit card and PayPal.

PAYMENT TERMS

In the event of a downward estimate of the number of words and hours of interpreting, the Client acknowledges Verbavox’s right to invoice an additional amount and agrees to pay it without reservation. 

If a client cancels an order that has already been processed, the work performed will be billed at 100% and the outstanding work at 50%. 

For interpreting assignments and for interpreters, stewards and/or trade show hostesses, the Client must take care to cancel the order within 7 working days from the date of the event, otherwise the Client will be required to pay the full amount agreed upon.

Unless specific arrangements have been agreed directly with Verbavox, invoices must be paid within 5 working days of their issue.

In the event of non-payment or delay, the Client expressly authorizes Verbavox to demand immediate payment of all debts due to Verbavox without prior warning or other formalities. Verbavox also reserves the right to charge default interest for each day of delay, starting from the first day of delay. This interest is calculated on the basis of the interest rate applied by the European Central Bank in force on the date on which payment should have been made, plus ten percent.

In case of late payment, orders in progress will be suspended.

INTELLECTUAL PROPERTY

Verbavox retains all ownership rights to the Services and its website.

No user may use the trade names, trademarks, logos or domain names of Verbavox unless expressly agreed otherwise with Verbavox.

LIABILITY

VERBAVOX’S LIABILITY

Verbavox and/or its Suppliers, employees and partners decline all responsibility for the services offered.

Verbavox does not in any case guarantee that:

  1. the use of the Services will meet the requirements of the Client;
  2. the use of the Services will be uninterrupted and error-free;
  3. the information obtained through the use of the Services will be reliable or correct.

In no event Verbavox and/or its Suppliers, employees and partner companies may not be held liable for any direct, indirect, exceptional, special, consequential or exemplary damage, irrespective of how it was caused and the liability invoked, including but not limited to (direct or indirect) loss of profits, loss of goodwill or reputation, loss of data you may suffer, the costs of supplying replacement goods or services or any other intangible loss arising out of or in any way connected with the services provided by Verbavox.

CLIENT’S LIABILITY

In the event of a dispute, the Client undertakes to release Verbavox, its employees and partners from all liability. 

The Client shall be liable for all damage caused to Verbavox, its employees and partners and therefore undertakes to indemnify them if the Client has committed a breach of contractual obligations. Compensation does not include any limitation of liability or any maximum amount of compensation. The Client must also indemnify Verbavox, its employees, suppliers and partners in the event of claims or other legal action of any kind.

The Client undertakes not to contact Verbavox’s Suppliers directly. Should the Client fail to abide by this requirement, the Client agrees to pay Verbavox compensation of five thousand euros (€5,000) per violation.

APPLICABLE LAW

These terms and conditions are subject to the Italian law and ought to be interpreted according to the latter.

If no amicable settlement is found, according to the aforementioned article 15, both parties will defer the matter to Italian tribunals to solve any disagreement on the services or these terms and conditions.
